Welcome to use the products, technologies or services related to YouVibe (collectively, the "Services")!

This Agreement is intended to set forth the rights and obligations associated with your registration, login and use of the YouVibe Services. The index keywords and headings preceding each clause are provided solely to help you understand the gist expressed by that clause, and do not affect or limit the meaning or interpretation of the clauses of this Agreement.

[Entering into the Agreement] When you click to confirm this Agreement or actually use the YouVibe Services, it means that you have fully read, understood and accepted all the contents of this Agreement. This Agreement shall take effect from the time you click to confirm or from the time the act of actually using the YouVibe Services occurs (whichever is earlier); if you do not agree with this Agreement or any of its clauses, you shall immediately stop using the YouVibe Services.

I. Definitions

1. YouVibe / YouVibe Platform: means the platform on which we use internet software technology, artificial intelligence technology and other technologies to provide users with services such as the creation, optimization, communication and sharing, and application management of images, videos, audio, code and web pages, etc.

2. YouVibe Services: means the products, technologies or services related to the creation, uploading, publishing and management of images, videos, audio, code and web pages, etc. that we provide to users, including but not limited to services for generating and creating materials such as icons, images, videos, code and web pages by means of artificial intelligence technology or other technologies, or services such as vector icon editing and storage, font icon conversion, illustration storage, material sharing and management, as well as other related software and technical services.

3. Materials: means the images, videos, audio, code, web pages and other content created, uploaded, published and managed by users or the YouVibe Platform.

4. You / User: means the registered users and actual users of the YouVibe Services.

5. Intellectual Property: means patent rights, trademark rights, copyright/neighboring rights, domain names, internet web pages, trade secrets, authentication certificates, confidential or secret processes and information, know-how, and other forms of intangible proprietary rights, whether or not registered or registrable (including the right to apply for each of the foregoing rights) and the rights to the proceeds thereof.

II. Contracting Parties and Scope of Agreement

1. Contracting Parties

This Agreement is jointly concluded by you and us, and is legally binding on both you and us:

(a) "We" as referred to in this Agreement, i.e., the YouVibe Services provider, specifically means 杭州易宏广告有限公司;

(b) The YouVibe Services provider may not be the website operator of the website where YouVibe is located, or the relevant deep synthesis algorithm service provider (杭州万相创意科技有限公司), but this does not affect the validity of this Agreement or your rights and interests hereunder; you may at any time check the license information publicly displayed at the bottom of the relevant website's homepage to determine the website operator;

(c) The YouVibe Services provider may change due to business adjustments or other reasons; the successor service provider shall perform this Agreement together with you and provide services to you, and such change will not affect your lawful rights and interests under this Agreement.

2. Composition, Supplement and Amendment of the Agreement

Due to the rapid development of the internet, the clauses set forth in this Agreement signed between you and us cannot fully enumerate and cover all the rights and obligations between you and us, and the existing arrangements cannot be guaranteed to fully meet the needs of future development. Therefore, the "YouVibe Privacy Policy" and the various related agreements and rules of YouVibe are all supplementary agreements to this Agreement, inseparable from this Agreement and of equal legal effect.

III. Account Registration, Login and Use

1. Account Registration and Transfer

You confirm that, before you begin to register for or actually use our services, you shall have the civil capacity for civil conduct corresponding to your acts as required by the laws of the People's Republic of China. If you are under 18 years of age, please stop using the YouVibe Services immediately.

After you read and agree to this Agreement as prompted by the registration page and complete all registration matters, you may obtain a YouVibe Services account and become a registered user; you may also, through a third-party account supported by YouVibe, authorize and bind your YouVibe account according to the page prompts, so that you may directly log in to and use the YouVibe Services through the third-party account.

Since the user account is associated with the commercial information of you and YouVibe and may involve other information, you may transfer the account only where there is an explicit provision of law, a judicial ruling, or our consent, and where the user account transfer process stipulated in the relevant YouVibe rules is satisfied. Once your account is transferred, the rights and obligations under that account shall be transferred together. In addition, your account may not be gifted, lent, rented, transferred, sold, or otherwise licensed to others for use in any manner, and you shall bear the corresponding responsibilities arising therefrom.

2. Information Management

When using the YouVibe Services, you shall provide your information (including your contact number, email, etc.) accurately and completely; in case of any change, you shall promptly provide the latest, true and complete information so that we or other users may contact you. You understand and agree that you are obligated to maintain the truthfulness and validity of the information you provide. If we fail to contact you based on the last information you provided, if you fail to provide information in a timely manner as required, or if the information you provide is obviously untrue, we will handle the matter in accordance with the law, and you shall bear the losses and adverse consequences caused thereby to yourself, others and us.

Based on the provisions and requirements of laws, regulations and platform management, you agree that we may conduct spot checks on your information and supporting documents from time to time, and require you to submit more information or supporting documents for the foregoing purposes. You understand and acknowledge that we only examine your information, supporting documents and the application for opening of usage rights at the general cognitive level of the public, and except as otherwise provided by law, we shall not be liable for any losses you suffer as a result of relying on the examination results.

3. Account Security Standards

Your account logged in on YouVibe is set up by yourself and kept by you, and we will never proactively ask you to provide your account at any time. Therefore, we recommend that you be sure to keep your account safe, and ensure that you log out at the end of each online session and leave YouVibe through the correct steps. The losses and consequences arising from your active disclosure of the account, or from the account being attacked, defrauded or otherwise acted upon by others, shall be borne by yourself. If you discover that someone else uses your account without authorization or that any other security breach occurs, you shall immediately change your login password or report to us. You understand that it takes a reasonable amount of time for us to take action on any of your requests, and except where we are at fault, we shall not be liable for any consequences that have already arisen before we take action.

You undertake that, during account login and use, you will strictly abide by the relevant laws and regulations, and will not engage in any act that violates laws and regulations, infringes national interests, damages the lawful rights and interests of us or any other third party, or is harmful to social morality and good customs. You shall bear all legal responsibilities arising from the various activities carried out under your account, including operational acts such as online agreement signing, and the uploading, creating, publishing, managing, browsing, collecting, downloading and using of materials or information.

4. Account Permissions

If you log in to and use the YouVibe Services through a third-party account, when your third-party account is temporarily or permanently unavailable, you will not be able to use the YouVibe Services until your third-party account returns to normal use.

IV. YouVibe Services and Usage Standards

(I) Service Content and Fee Settlement

1. Service Relationship and Service Content

You understand and agree that we only act as the YouVibe Services provider; the signing of this Agreement shall at no time be regarded as us becoming a joint actor with you in the uploading, storing, editing, using and managing of materials and material content on YouVibe; we only provide internet information services and the related technical, product, application and software services; during your use of the services, you shall abide by national laws and regulations and the various provisions of this Agreement, and we make no express or implied warranty as to the legality and validity of your acts and of the materials and material content.

According to the actual launch status of the relevant functions and services, the YouVibe Services that we have provided or will soon provide to you include (specifically subject to the actually launched services):

(a) using the artificial intelligence technologies, tools, services, etc. provided and licensed to you by us and our affiliates to design, generate, create and optimize materials such as icons, images, videos, audio, code and web pages, and to share, publish, or download and save them according to the page prompts;

(b) using the material templates such as images, videos and audio preset by the YouVibe system and licensed for your use;

(c) through YouVibe, creating and managing personal material libraries, asset libraries and project libraries; browsing, collecting, liking, commenting, citing, adding to libraries, and downloading icons, illustrations, fonts and other materials published by us or other users and publicly visible;

(d) browsing and viewing materials such as icons, images, videos, code and web pages shared or publicly published by the YouVibe Platform or other users, or using relevant materials as required by the interface prompts;

(e) other services provided through the YouVibe website or its links, by us or our affiliates;

(f) other services continuously explored, developed and newly launched by YouVibe.

Internet technology, artificial intelligence technology and their applications are developing and changing rapidly; we will continuously adjust and optimize the YouVibe Services according to technology upgrades, application effects and user feedback, etc., and the foregoing services may be added or modified due to the adjustment of the relevant businesses and products of us or our affiliates, or be temporarily suspended due to technical maintenance. We will, based on the actual situation of the business and products, the provisions of laws and regulations, and regulatory requirements, correspondingly change, upgrade, modify, transfer, suspend or terminate the foregoing services, and the occurrence of the foregoing circumstances does not constitute a breach of contract by us or our affiliates.

2. Service Fees and Settlement

Where you use the products or services of YouVibe or its affiliates, we or the affiliates are legally entitled to charge fees according to the publicly displayed rules, standards, paid service agreement, etc. of the platform; if you do not agree with the charging plan, you may, in accordance with the rules or agreement, use the relevant services that do not involve charges, or obtain the corresponding rights to exchange for services by participating in activities, completing tasks, etc., specifically subject to the information actually displayed on the YouVibe Services interface.

3. Third-Party Services

YouVibe contains the relevant services provided by us and our affiliates, partners or other users; when you use the foregoing services through YouVibe, in addition to complying with this Agreement and the relevant rules, you shall also comply with the specific service agreement, relevant service rules or other specific requirements displayed on the service interface; if any dispute, loss or damage arises from the services provided by affiliates, partners or other users, you shall resolve it with the actual service provider on your own, and we shall not bear the corresponding responsibility to you or any third party in this regard.

(II) Service Usage Standards

1. Service Usage Standards

[Information Security Obligations]With respect to the technologies, products, applications or other services displayed and provided by YouVibe, you shall make your own judgment, examine and use them with care, and bear the legal responsibility for your acts of judgment and use; if we bear legal responsibility such as violation of law, breach of contract or infringement of a third party due to your acts, we have the right to hold you accountable and demand compensation for the various losses we suffer as a result. In particular, as a user of the YouVibe Services who bears the information security obligation according to law, you need to decide for yourself whether to trust, publish or otherwise use the content and information made or obtained based on the YouVibe Services, and you shall abide by the following:

(a) proactively examine the truthfulness, accuracy and legality of the materials and information such as images, videos, audio, text, documents, code and web pages that you upload, generate, create and edit, store and manage, and refrain from disseminating information content that violates laws and regulations; if your materials or information may cause public confusion, misidentification or other circumstances that should be labeled according to law, you shall make a conspicuous label at a reasonable position and area; where YouVibe or an affiliate's product has lawfully added a label, users shall retain it according to law during use;

To improve the transparency of content generated and synthesized by artificial intelligence, to protect the public's right to know and to support content traceability, in accordance with the provisions of laws and regulations and the requirements of national standards, where the YouVibe Services involve content generated and synthesized by artificial intelligence technology, a default labeling management rule is implemented, that is, content generated and synthesized using artificial intelligence technology in the YouVibe Services is by default added with explicit labels and implicit metadata labels; if you apply for content without an explicit label according to the service interface prompts, you shall ensure that the corresponding content does not present situations easily causing public confusion or misidentification, and you shall strictly abide by the provisions of laws and regulations and the provisions of this Agreement in creating and using the corresponding content; where laws and regulations or a third-party platform require an explicit label to be added, you shall make a conspicuous label at a reasonable position and area. If, due to your failure to perform the labeling obligation, administrative or judicial authorities or third parties hold you, us, our affiliates, partners and other users legally accountable, you shall bear it yourself, and if we, our affiliates, partners and other users suffer losses as a result, you shall compensate them.

(b) It is strictly prohibited to use input content such as text, images, videos, audio, code or any other means to guide or induce generation, or to proactively create and edit, or to proactively upload or publish materials or related information in the following circumstances: insulting, defamatory, intimidating, or involving the privacy of others; political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terrorism or instigating crime; fraudulent, false, inaccurate or misleading; containing viruses, trojans, crawlers and other malicious software or program code that may damage, tamper with, delete, modify, reverse-engineer or affect the normal operation of the YouVibe Services software system, or unauthorizedly obtain the data and personal information of YouVibe and users; violating the provisions and requirements of national laws, regulations, administrative rules and other normative documents, as well as this Agreement and its related documents, and the relevant service usage standards/rules of YouVibe, etc.; violating public interest or public order and good customs; infringing upon others' portrait rights, personality rights, intellectual property rights, trade secrets or other lawful rights and interests; where goods/services and brands are involved, they shall not involve counterfeit or inferior goods, defective goods/services, or infringing, exaggerated or false advertising, etc.;

(c) It is strictly prohibited to publish in any way advertising information unrelated to the YouVibe Services, or other materials or information content that may damage the lawful interests and account security of YouVibe and other users;

(d) It is strictly prohibited to interfere with the normal operation of the YouVibe Services or the YouVibe review and filtering mechanism by improper means or technologies;

(e) It is strictly prohibited to use the YouVibe Services to carry out other acts that violate laws and regulations or infringe the lawful rights and interests of third parties or us.

[Good-Faith Operation]You undertake that you will abide by the principle of good-faith operation; once any of the following circumstances occurs, it may be determined that you have violated this Agreement and the principle of good-faith operation:

(a) being suspected of using the YouVibe Services to infringe the lawful rights of other parties, committing fraud or other illegal or irregular acts;

(b) using the YouVibe Services / service software system / materials for purposes or in ways other than those agreed in this Agreement, without our written consent; authorizing others to use the YouVibe Services without authorization; transferring / sub-authorizing all or part of the YouVibe Services to others without authorization, for example, publishing, sharing or selling materials published by YouVibe or other users in violation of this Agreement or other users' authorization requirements, or using the YouVibe Services and materials for large model training without authorization, etc.;

(c) accessing or logging in to YouVibe using robot software, spider software, crawler software, screen-bursting software or other abnormal means;

(d) using YouVibe or means such as computer viruses/programs to illegally steal, delete, modify or add information of the website or of other members/users of the website;

(e) maliciously using the YouVibe Services, using devices, software or routine programs to interfere or attempt to interfere with the YouVibe Services; using the YouVibe Services to add functions prohibited by us or our affiliates/partners, and carrying out acts such as hindering, damaging or interfering with the normal display of materials, or interfering with or hindering the normal service process, or other acts that affect the user experience and even endanger platform security;

(f) using improper methods or technologies to circumvent the requirements of laws and regulations, the YouVibe Services software system, this Agreement, etc., or endangering the normal operation of the website or network security in any other way;

(g) copying, modifying, decompiling, disassembling, reverse-engineering, dismantling, counterfeiting, etc. the YouVibe Services software system, algorithms, products, applications, technologies, parameters, weights, web design, etc., or grabbing YouVibe users and materials in other improper ways;

(h) infringing the intellectual property rights, personality rights and other lawful rights and interests of third parties during the use of the YouVibe Services.

If a user assists a third party in carrying out the foregoing acts in any way, it shall be deemed that the user has violated this Agreement, and we will investigate the legal responsibility of the user and that third party according to law, and the user shall compensate us for all losses suffered as a result.

2. Information Review

[Volume of Information] Weonly provide you with technical support related to the creation, storage, management, modification and deletion of materials; for the purposes of fulfilling relevant legal and regulatory obligations, protecting users' rights and interests, and maintaining platform order, we may review the materials and other information that you upload, store, manage, edit and use. In view of the neutrality of YouVibe's technical services, your autonomy in using the YouVibe Services, the existence of a massive amount of information on YouVibe, and the characteristic that information is separated from physical objects in the information network environment, we are unable to examine one by one the legality, truthfulness and accuracy of the materials and other information uploaded, stored, managed, edited and used by you and other users; except where there is an explicit provision of law, we are not required to conduct a prior review of the acts of you and other users in using the YouVibe Services and of other related matters; however, if a third party such as a consumer, judicial authority, regulatory authority or right holder notifies us, or we discover, based on a multi-dimensional big-data comprehensive analysis of the materials and other information, that there are illegal or improper acts on the platform, or that a specific user, specific use behavior or specific information may violate relevant laws and regulations or this Agreement, you acknowledge our reasonable identification of the relevant content based on the knowledge level of the general public, and we may, according to different circumstances, send you an inquiry or a notice requiring correction, or directly delete or block relevant information, take restrictive measures against your account, or stop providing services to you.

When a third party asks us to delete the material content and other relevant information that you uploaded, stored, edited, used and managed on the grounds that you have infringed, you agree that we shall not bear any responsibility for the deletion other than that explicitly provided by law; if it is ultimately proven that the third party acted in bad faith or lacks a right certificate, you may hold the third party accountable on your own.

V. Intellectual Property

1. YouVibe Intellectual Property

Unless otherwise agreed or separately declared by us, except for the materials uploaded by users, the copyright, trademark rights, patent rights and other rights of the products, technologies, software, programs, data and other information (including text, images, pictures, audio, video, charts, colors, layout design, preset templates, styles, prompts, electronic documents, model parameters, weights and other information, etc.) used by YouVibe and the related services and provided by us shall all belong to us or our affiliates; without our permission, no one may, without authorization, edit, organize, arrange, copy, disseminate, display, mirror, upload, download, modify, rent, sell, sub-authorize, use for machine learning or model training, or use in any other way detrimental to the interests of YouVibe and us.

The text, graphics and their combinations such as the Logo, domain names and service names of YouVibe and the related services, as well as the intellectual property and related rights of our trademarks, logos, emblems, product and service names, shall all belong to us or our affiliates; without our permission, no one may, without authorization, use them in any form for display, promotion, use, or any processing.

2. User Intellectual Property and Authorization

To protect the lawful rights of users and YouVibe, users shall ensure that they do not, by using YouVibe, violate the provisions of laws and regulations or the agreements with third parties, or infringe the lawful rights of any party, or cause us, our affiliates, partners and other users to encounter the foregoing circumstances. Except as otherwise provided by laws and regulations, users shall enjoy lawful rights to the materials generated and created by them using the YouVibe Services; for materials generated based on the preset templates, styles, prompts, etc. provided by YouVibe, users enjoy a non-exclusive right of use.

Users shall ensure that the materials such as icons, vector illustrations, Lottie, images, videos, audio, code and web pages that they upload, publish or authorize are true, lawful and valid, and that users have complete intellectual property and other lawful rights to the foregoing materials or have obtained sufficient authorization from the right holder, and that there is no infringement of any third party's intellectual property, personality rights or other lawful rights and interests, or violation of any lawful and valid agreement with a third party; where users download and use materials published by us or other users, they shall strictly abide by the requirements of the then-effective YouVibe agreements, rules, or the authorization conditions lawfully set by the user providing the materials, and shall not use them beyond the scope, nor use them in violation of the requirements of YouVibe or other users; otherwise, it shall be deemed a violation of the YouVibe agreement, and YouVibe and other users have the right to investigate the legal responsibility of the breaching user according to law.

Unless otherwise agreed or separately declared, regardless of whether the relevant materials are labeled as "free to use," YouVibe users shall not, without authorization, upload or publish materials published by us or other users to third-party platforms or websites as their own or as lawfully authorized materials; shall not sell the foregoing materials in the form of printed matter, physical goods, virtual products, digital products or any other form, by themselves or by entrusting a third party; shall not, by themselves or by assisting a third party, obtain the foregoing materials in improper or illegal ways; nor shall they use the foregoing materials for model training or in circumstances that violate the provisions of laws and regulations and this Agreement.

To continuously improve the service capabilities of YouVibe and provide users with richer and higher-quality technical services, users agree to authorize us and our affiliates to record, collect, analyze and use the materials uploaded by users (such as images, videos, audio, code and web pages, etc.), data, and records of users' operational behaviors (such as collecting, liking, downloading, commenting, sharing, etc.), and agree that we and our affiliates may use the foregoing materials, data, records and other information for sharing and exchange in the inspiration square, case dissemination and display, derivative material creation, machine learning, algorithm model training and other data analysis and mining, in order to maintain, develop and improve the service capabilities and quality of YouVibe and the affiliates' products; to facilitate users' use of the relevant services of us, our affiliates and partners, users authorize us to transmit the foregoing materials, data and information to the affiliates and partners that provide the relevant services, for use by the affiliates and partners in accordance with the foregoing authorization scope and manner.

VI. User Personal Information Protection and Authorization

We attach great importance to the protection of users' personal information. When using the YouVibe Services, users agree that we will collect, store, use, disclose and protect users' personal information in accordance with the privacy policy published on the YouVibe Services interface. We hope to clearly introduce to users the way the YouVibe Services handle users' personal information through the privacy policy, so we recommend that you read the "YouVibe Basic-Functionality Privacy Policy" in full, to help you better protect your privacy rights.

VII. Confidentiality and Anti-Commercial Bribery

1. Confidentiality Obligation

Any information about us or our affiliates that a user obtains by reason of agreeing to or performing this Agreement, or by using the YouVibe Services, including scientific, commercial, data and internal information regarding technology, finance, market, management, etc., as well as other information not made public through lawful channels and of economic value, constitutes confidential information of us and our affiliates and shall be the proprietary property of us and our affiliates. Users undertake to keep the confidential information of us and our affiliates strictly confidential; except for use for the purpose of using the YouVibe Services in accordance with law and the agreement, they shall not use or allow others to use it, nor disclose it to any third party. The confidentiality obligation under this paragraph shall not terminate due to the suspension or termination of the YouVibe Services.

2. Anti-Commercial Bribery

If a user provides to employees or consultants of us and/or our affiliates any benefits such as physical goods, cash, cash equivalents, labor services, travel, etc., the value of which obviously exceeds the scope of normal business negotiation, it may be deemed that the user has engaged in commercial bribery. In the event of the foregoing circumstances, we may immediately terminate all cooperation with the user and charge the user liquidated damages and/or compensation, the amount of which shall be calculated based on the economic losses and goodwill losses suffered by us as a result of the user's bribery.

VIII. Agreement Amendment, Associated Handling and Limitation of Liability

1. Agreement Amendment

We may amend this Agreement or formulate supplementary agreements based on changes in national laws and regulations and the need to maintain cooperation order; the amended agreements and supplementary agreements (hereinafter referred to as the "Amendment Matters") will be notified to users in the manner agreed in this Agreement.

If a user does not agree with the Amendment Matters, the user has the right to contact us to provide feedback before the effective date determined by the Amendment Matters. If the feedback is adopted, we will adjust the Amendment Matters at our discretion.

If a user still does not agree with the effective Amendment Matters, the user shall stop using the YouVibe Services from the effective date determined by the Amendment Matters, and the Amendment Matters shall not be effective against the user; if the user continues to use the YouVibe Services after the Amendment Matters take effect, it shall be deemed that the user agrees with the effective Amendment Matters. Unless otherwise declared or an agreement is signed, any expansion of service scope or enhancement of software functions by YouVibe for the purpose of improving consumer and merchant experience, upgrading platform services, etc. shall be subject to this Agreement.

2. Associated Handling

If this Agreement is terminated due to a user's breach, for the purpose of maintaining cooperation order, we and/or our affiliates may take measures to suspend or even terminate the cooperation under other agreements with the user, and notify the user in the manner agreed in this Agreement.

If the other agreements signed between us and/or our affiliates and the user expressly stipulate circumstances for associated handling of the user's cooperation under this Agreement, then for the purpose of maintaining cooperation order, we may, upon receiving the instruction, suspend or even terminate this Agreement, and notify the user in the manner agreed in this Agreement.

3. Force Majeure and Limitation of Liability

[Force Majeure and Third-Party Acts] Wewill provide the YouVibe Services to you on an "as-is" and "as-available" basis. We bear the basic guarantee obligation according to law, but cannot be liable for the damage results caused to you by information network equipment maintenance, connection failures, computer, communication or other system failures, power failures, serious epidemics, strikes, riots, fires, floods, storms, explosions, wars, government actions, orders of judicial or administrative authorities, or third-party reasons, etc.

[Limitation of Liability]You understand and agree that we shall not be liable in the following circumstances:

(a) the YouVibe Services fail to be provided or malfunction not due to our intent or negligence;

(b) you and/or any third party suffer losses due to your intent or negligence;

(c) you violate the provisions of this Agreement and constitute a breach.

IX. Breach Determination and Handling

1. Breach Determination

During the user's use of the YouVibe Services, the occurrence of any of the following circumstances constitutes a user's violation of this Agreement:

(a) the user, when using the YouVibe Services, violates the provisions of laws and regulations, the various provisions of this Agreement regarding users, the relevant rule requirements of YouVibe, the agreement and rule requirements of affiliates or partners, or the conditions set by the material provider, etc.;

(b) the user's use of the YouVibe Services causes us or our affiliates to be reviewed or questioned by national administrative regulatory authorities, or to be sued by a third party;

(c) the user violates the various guarantees and commitments made in using the YouVibe Services.

To adapt to technological development and meet the needs of massive users for efficient and high-quality services, you understand and agree that YouVibe may stipulate the procedures and standards for breach determination in the service rules. YouVibe may determine whether a user constitutes a breach based on the relationship between the user's data and massive user data; the user shall provide sufficient evidence and a reasonable explanation for its data anomalies, otherwise the user shall bear the adverse consequences arising therefrom.

2. Liability for Breach

Where YouVibe reasonably determines that a user constitutes a breach, we have the right to, depending on the circumstances, take measures such as warning, blocking, taking down, restricting some or all functions, suspending some or all services, freezing the account up to terminating the service, and permanently closing the account; the consequences, such as the user being unable to use the account normally or unable to obtain the assets or other rights and interests in the account normally, shall be borne by the user.

If a user's breach causes YouVibe, us and our affiliates, partners and other users to suffer economic losses (including direct economic losses, goodwill losses, compensation, settlement payments, attorney fees, litigation costs, etc.), the breaching user shall bear the compensation liability; if the user's act causes us and our affiliates, partners and other users to be held accountable by a third party, we may, after fulfilling obligations such as monetary payment to the third party, require the breaching user to fully compensate for the corresponding losses.

If we determine that a user's act has caused or will inevitably cause losses to a third party, for the purpose of protecting the lawful rights and interests of the third party, we will deal with it in advance by advancing funds from our own funds, or by instructing a payment institution authorized by you to deduct from your account, etc.; you shall return the advanced fees to us and compensate us for the losses suffered as a result. For the various losses (including the various circumstances such as the advance payments by us and our affiliates) that you cause to us and our affiliates, partners, other users and third parties, you agree that we may instruct a payment institution authorized by you to deduct from your account (if applicable); if the deduction is insufficient, we may directly deduct the rights and interests under other cooperation agreements between you and us and our affiliates, and may continue to pursue recovery.

X. Termination of the Agreement

1. Circumstances of Termination

A user may terminate this Agreement by any of the following means:

(a) canceling the user account according to YouVibe's prompts;

(b) before the Amendment Matters take effect, the user stops using and expressly indicates unwillingness to accept the Amendment Matters;

(c) the user expressly indicates unwillingness to continue using YouVibe and the related services, and meets the termination conditions of YouVibe.

When any of the following circumstances occurs, we will notify the user to terminate this Agreement in the manner agreed in the Agreement:

(a) the user account is determined to be an inactive account (e.g., not logging in to the account for 12 consecutive months, etc.), and we reasonably determine that the user no longer uses the YouVibe Services;

(b) the user has acts that infringe the lawful rights and interests of others, or that seriously violate the law, or that violate agreements with third parties;

(c) the user violates the agreement by making the account available to others by means of transfer, rental, lending, etc.; the user steals another person's account; or the user publishes illegal materials or information, defrauds others of their property, disrupts market order, or seeks profit by improper means, etc.;

(c) the user repeatedly violates the relevant provisions of YouVibe and the circumstances are serious;

(d) your account is recovered by the YouVibe Platform in accordance with this Agreement;

(e) other circumstances where the service or the Agreement should be terminated.

2. Handling after Termination of the Agreement

After this Agreement is terminated, the user will not be able to continue using the YouVibe Services; when we notify the user to permanently close the YouVibe account or to terminate the provision of YouVibe Services to the user, this Agreement shall terminate at the same time, and we will no longer separately notify the user of the termination of this Agreement.

After this Agreement is terminated, except as otherwise explicitly provided by law, YouVibe is not required to disclose or provide any information in the user's account to the user or to the third party designated by the user.

After this Agreement is terminated, for the user's past breach, we may pursue the liability for breach against the user in accordance with this Agreement.

XI. Notices

You agree that we may serve various notices to you by any of the following means:

(a) YouVibe in-site messages or private messages;

(b) the email, mobile phone number and other contact information you have reserved on YouVibe;

(c) the contact information that can be queried through the third-party platform account bound to your YouVibe account;

(d) the information displayed on the YouVibe pages.

XII. Governing Law, Jurisdiction and Miscellaneous

1. The establishment, effect, performance, interpretation and dispute resolution of this Agreement shall all be governed by the laws of the People's Republic of China.

2. This Agreement is signed in Yuhang District, Hangzhou, Zhejiang Province, the People's Republic of China; if any dispute arises between the user and us, both parties shall try to resolve it through friendly negotiation; if negotiation fails, the dispute shall be submitted to the people's court with jurisdiction at the place where the defendant is located for resolution through litigation.

3. If any provision of this Agreement is deemed to be repealed, invalid or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the other provisions of this Agreement.
